1. Definitions
Company
Unique Kitchens (Cheshire) Ltd.
Customer
The purchaser of the Goods.
Goods
All kitchen furniture, cabinets, doors, worktops, appliances, accessories, panels, fittings and related products supplied by the Company.
Fitter
Any installer, tradesperson or contractor instructed by the Customer.
Contract
The agreement between the Company and the Customer.
2. Basis of Contract
2.1 These Terms apply to all quotations, sales and supplies.
2.2 No variation shall be binding unless agreed in writing by a Director of the Company.
2.3 Acceptance of a quotation, payment of a deposit or placing an order constitutes acceptance of these Terms.
3. Supply Only Contract
3.1 The Company supplies kitchen products only.
3.2 Unless expressly stated in writing, the Company is not contracted to provide installation services.
3.3 Any fitter recommended by the Company acts independently and is not an employee, agent or subcontractor of the Company.
3.4 The Customer contracts separately with any fitter.
3.5 The Company accepts no liability whatsoever for:
Installation workmanship
Delays by fitters
Damage caused during installation
Plumbing works
Electrical works
Gas works
Building works
Decorating works
3.6 Any dispute concerning installation shall be addressed directly between the Customer and the fitter.
4. Quotations
4.1 Quotations remain valid for 30 days.
4.2 Prices may be revised if suppliers increase costs before an order is placed.
4.3 Drawings and visuals are illustrative only.
4.4 The Customer remains responsible for verifying dimensions before ordering.
5. Surveys and Measurements
5.1 The Customer remains responsible for ensuring all measurements are accurate.
5.2 Any measurements supplied by the Customer are relied upon entirely at the Customer’s risk.
5.3 Site surveys are visual inspections only.
5.4 The Company accepts no liability for:
Out of square walls
Uneven floors
Structural defects
Hidden services
Site conditions
6. Deposits
6.1 Orders require a non-refundable deposit.
6.2 Deposits secure manufacturing slots, supplier commitments and administrative costs.
6.3 Once production begins, the order cannot be cancelled without liability for the full contract price.
7. Bespoke and Made-to-Order Goods
7.1 Most kitchens are manufactured to the Customer’s specification.
7.2 Bespoke, made-to-order or specially sourced goods cannot be cancelled once ordered.
7.3 The Customer remains liable for the full purchase price following manufacture.
7.4 No refund shall be payable for bespoke goods except where legally required.
8. Payment Terms
Supply Only Orders
8.1 Full payment must be received before delivery.
8.2 Ownership shall not pass until cleared funds have been received.
8.3 The Company may refuse delivery until payment is received in full.
Fitted Kitchens
8.4 Where fitting is arranged separately, the kitchen goods remain payable in full before installation commences.
8.5 No kitchen shall be released for fitting until the goods invoice has been paid in full.
8.6 Installation dates do not alter payment obligations.
9. Title and Ownership
9.1 Legal ownership of all Goods remains with the Company until payment has been received in full.
9.2 The Company reserves the right to recover unpaid Goods.
9.3 The Customer grants permission for the Company to enter premises where legally permitted for recovery of unpaid Goods.
9.4 Risk passes upon delivery.
10. Delivery
10.1 Delivery dates are estimates only.
10.2 The Company shall not be liable for delays caused by:
Manufacturers
Suppliers
CouriersPorts
Weather
Industrial action
Force majeure events
10.3 Delivery may occur in instalments.
11. Customer Delivery Obligations
The Customer must:
Provide suitable access.
Ensure adequate storage.
Inspect goods on delivery.
Report visible shortages within 48 hours.
Failure to comply may invalidate claims.
12. Shortages and Damage
12.1 Visible damage must be reported within 48 hours.
12.2 Concealed damage must be reported within 7 days.
12.3 The Company reserves the right to inspect before accepting liability.
12.4 Replacement parts shall be the Customer’s sole remedy.
12.5 The Company shall not be liable for installation costs, fitter costs, accommodation costs or consequential losses arising from damaged or delayed items.
13. Appliances
13.1 Appliances are supplied subject to the manufacturer’s warranty.
13.2 Warranty claims shall be made directly with the manufacturer unless otherwise stated.
14. Delays and Missing Components
14.1 The Customer acknowledges that kitchen supply involves multiple manufacturers and suppliers.
14.2 The Company shall not be liable for:
Delayed installations
Fitter cancellation fees
Lost earnings
Alternative accommodation
Consequential losses
14.3 The Company’s obligation shall be limited to supplying replacement components where appropriate.
15. Limitation of Liability
15.1 Nothing excludes liability for:
Death or personal injury caused by negligence.
Fraud.
Statutory rights.
15.2 Subject to Clause 15.1:The Company’s total liability shall not exceed the amount paid for the Goods.
15.3 The Company shall not be liable for:
Indirect losses
Consequential losses
Loss of profits
Loss of business
Loss of opportunity
Loss of anticipated savings
Installation costs
Third-party contractor costs
16. Late Payment
16.1 Time for payment is of the essence.
16.2 Interest shall accrue on overdue amounts at: 8% above Bank of England Base Rate calculated daily.
16.3 The Company may recover:
Solicitors’ costs
Court fees
Debt collection fees
Enforcement costs
Administrative costs reasonably incurred recovering unpaid sums.
16.4 Outstanding balances may be referred to debt collection agencies without further notice.
17. Chargebacks and Payment Disputes
17.1 The Customer agrees not to initiate a chargeback or payment reversal where Goods have been ordered, manufactured, supplied or delivered.
17.2 Where a chargeback is raised improperly, the Company reserves the right to recover:
The contract price
Bank charges
Merchant processing fees
Legal costs
17.3 Signed delivery notes, emails, order confirmations and acceptance of Goods may be relied upon as evidence.
18. Storage Charges
18.1 Where Goods are ready but delivery is delayed by the Customer:Storage may be charged at: £25 plus VAT per day or such other reasonable amount notified to the Customer.
18.2 Goods may be deemed delivered for payment purposes once available for dispatch.
19. Force Majeure
The Company shall not be liable for events outside its reasonable control including:
Supplier failure
Transport disruption
War
Pandemic
Fire
Flood
Government restrictions
20. Intellectual Property
All drawings, designs, visuals and plans remain the property of the Company unless paid for separately.
The Customer may not reproduce or provide them to competitors.
21. Complaints Procedure
The Customer must provide the Company with a reasonable opportunity to inspect and remedy any issue before engaging third parties. Failure to do so may extinguish any claim.
22. Governing Law
These Terms shall be governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
